TAMPA, FL - June 15, 2002 - HealthPlan Services, Inc., ("HPS") a subsidiary of HealthPlan Holdings, Inc. ("HPH") announced today the signing of a new technology and administrative services contract with Humana. Under the agreement, HPS will act as the exclusive administrator for Humana's individual HMO health insurance policies by utilizing its proprietary Web-enabled Total Administrative Solutions ("TAS") platform.

The TAS system will provide billing, rating, enrollment/eligibility, renewals, commissions processing, member customer service, and complete plan reporting as part of the suite of services elected by Humana. Working with Humana, HPS is able to provide a solution that seamlessly interfaces with their distribution channels, underwriting, and claims systems.

Humana has launched a new prototype individual plan and will be offering this new product in 15-20 states within the next 12 months. The marketing plan calls for significant volumes of new membership over the next 36 months.
